Terms of Service

1. About these terms

These terms govern the use of LBSMS ("Low Budget SMS", the "Service"), provided by Pluri Ventures LLC ("we", "us"). By installing or using the Service in your Shopify store you ("Merchant", "you") accept these terms and our Privacy Policy. If you use the Service on behalf of a business, you confirm you can bind it.

2. The Service

LBSMS lets Shopify merchants send SMS campaigns and automated texts (such as abandoned checkout reminders, order confirmations and shipping updates) to their customers, and see the results. It is available only to Shopify stores and is installed through Shopify.

3. Account

Your account is your Shopify store. Keep access to your Shopify admin secure; you are responsible for activity carried out through your store's installation. You can stop using the Service at any time by uninstalling the app.

4. Credits, prices and payment

  • The Service is prepaid. You buy credit packs through Shopify's billing system; the charge appears on your Shopify invoice.
  • Each text is charged when it is sent, at the price per SMS segment for its destination shown on our pricing page. Long texts use several segments.
  • We may change prices. New prices apply to messages sent after the change; credit you already bought keeps its monetary value.
  • If a text cannot be sent (for example, the gateway rejects it or the destination is not supported), the credit is not used or is returned to your balance.
  • Credit is not refundable or transferable, except where the law requires otherwise or where we end the Service without cause, in which case we refund the unused balance.
  • Prices exclude any taxes that Shopify or the law requires to be added.

5. Your responsibilities

You are responsible for the messages you send and for complying with the laws that apply to them, including the GDPR and ePrivacy rules in Europe, the TCPA and state laws in the United States, and anti-spam laws elsewhere. In particular, you agree to:

  • send marketing texts only to people who gave valid, provable consent, and to keep that consent recorded in Shopify;
  • review the consent text of your sign-up forms, link your own privacy policy, and honour the discount codes you offer in your texts;
  • keep the opt-out link in marketing texts and never re-subscribe someone without their new consent;
  • respect quiet hours and local rules on when marketing texts may be sent;
  • use only sender names you are entitled to use;
  • not send content that is unlawful, misleading, fraudulent (including phishing), hateful, adult, or that infringes others' rights;
  • not use the Service to send texts unrelated to your store, to resell the Service, or to send messages on behalf of third parties;
  • not attempt to break, overload, reverse engineer or bypass the security of the Service.

6. Our rights

To protect recipients, mobile networks and the Service, we may review sender names, block or delay messages, and suspend or close an account that breaks these terms or the law, or that generates abnormal complaints or opt-out rates. When reasonable, we will tell you first and give you a chance to fix the problem.

7. Data protection

For your customers' personal data, you are the controller and we are your processor. We process it only to provide the Service and according to your instructions given through the app, as described in our Privacy Policy and GDPR page. 8. Availability and delivery

We work to keep the Service available and to deliver texts quickly, but delivery depends on Shopify, our SMS gateway and mobile networks. We do not guarantee that every text will be delivered or delivered at a specific time, and scheduled maintenance may interrupt the Service.

9. Intellectual property

The Service, its software and branding belong to us or our licensors. You keep all rights to your content and data. You allow us to use them only to provide the Service.

10. Liability

The Service is provided "as is". To the extent permitted by law, we are not liable for indirect or consequential losses, such as lost profits, revenue or data, and our total liability for any claim is limited to the amount you paid us in the 12 months before the event giving rise to it. Nothing in these terms limits liability that cannot be limited by law, such as for fraud or wilful misconduct.

11. Indemnity

You agree to compensate us for claims, fines and costs arising from the messages you send or from your breach of these terms or of applicable law.

12. Ending the Service

You can stop at any time by uninstalling the app. We may end the Service with 30 days' notice, or immediately for serious breaches. Your data is then deleted as described in our Privacy Policy.

13. Changes

We may update these terms. We will publish the new version here and, for material changes, notify you in the app or by email at least 15 days in advance. Continuing to use the Service after that means you accept the new terms.

14. Law and disputes

These terms are governed by the laws of USA. Courts of USA have jurisdiction, without prejudice to any mandatory consumer protection that applies to you. Please contact us first at [email protected]; we aim to reply within 14 days.
